By accessing and using Agency Buddy ("Service", "Platform") available atagencybuddy.io, you ("User") agree to be bound by these Terms and Conditions ("Terms"). Your continued use of the Service constitutes your unconditional and irrevocable acceptance of these Terms, as well as any modifications that may be made in the future. If you do not agree to these Terms, you must discontinue use immediately.

Agency Buddy is a Software as a Service (SaaS) platform that provides a suite of tools and integrations. The Service fetches fresh data from your API keys for enabled integrations, including but not limited to SMTP credentials, Stripe information, and other third-party APIs, and stores this information along with the data retrieved.

By providing your API keys and other credentials, you authorize Agency Buddy to access, fetch, store, and process data from your enabled integrations. This includes your SMTP details, payment processing information (e.g., Stripe), and any other data transmitted via the API integrations. You acknowledge that the Service may continuously update this data to ensure its freshness and accuracy.

You agree that all data fetched, stored, or processed by Agency Buddy, including any derivative works or analyses, shall become the sole and exclusive property of Agency Buddy. You hereby assign any and all rights, title, and interest in such data to Agency Buddy, and grant us an irrevocable, perpetual, worldwide, royalty-free license to use, reproduce, modify, distribute, display, and otherwise exploit the data in any manner we deem appropriate without any further notice or compensation.

Agency Buddy reserves the right to modify, update, or replace these Terms and any content on the Platform at any time and in our sole discretion. Any changes will be effective immediately upon posting. Your continued use of the Service constitutes your acceptance of any such changes automatically, without requiring further notification or explicit agreement.

All content, features, software, graphics, text, logos, and other materials available on the Platform are the exclusive property of Agency Buddy and are protected under applicable copyright and intellectual property laws. Unauthorized use, reproduction, or distribution of any materials on this Platform is strictly prohibited.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AGENCY BUDDY SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES (INCLUDING, BUT NOT LIMITED TO, LOSS OF PROFITS, DATA, OR OTHER INTANGIBLE LOSSES) ARISING FROM OR IN CONNECTION WITH YOUR USE OF THE SERVICE. You acknowledge and agree that you use the Service at your own risk.

You further agree to indemnify, defend, and hold harmless Agency Buddy, its affiliates, and their respective officers, directors, employees, and agents from any claims, losses, damages, liabilities, costs, or expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Service or any breach of these Terms.

By using the Service, you fully and unconditionally release Agency Buddy from any and all claims, liabilities, or exposures arising from the collection, storage, processing, or any other use of your data as provided under these Terms. This provision is intended to eliminate any potential legal exposure to Agency Buddy related to the use or misuse of the data.

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Agency Buddy operates, without regard to its conflict of law rules. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in that jurisdiction.

If any provision of these Terms is found to be unenforceable or invalid under any applicable law, such provision shall be modified to the minimum extent necessary to make it enforceable or, if such modification is not possible, such provision shall be severed from these Terms without affecting the enforceability of the remaining provisions.

The failure of Agency Buddy to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
